Terms of Service

The agreement between Shaidle and you, whether you buy capacity, sell it, or both. Written to be read, so the parts that limit your rights are in the same plain language as the parts that describe ours.

1 · Who this is between

“Shaidle”, “we” and “us” mean the operator of this service. “You” means the account holder. By creating an account or using the service you agree to these terms, the acceptable use policy, and the privacy policy, which form part of this agreement.

You must be at least 18 and legally able to enter into a contract. If you are using Shaidle on behalf of an organisation, you confirm you are authorised to bind it.

2 · What the service is

Shaidle provides an exchange for authorised AI model capacity and service execution. Buyers purchase prepaid credit from Shaidle and draw it down per token. Sellers make available authorised AI service capacity they are entitled to use, and are paid for capacity actually served. Shaidle is the counterparty to both: you buy from us, and we separately buy from suppliers. We are not an agent for either side, and no payment you make is passed through to another user out of that payment.

Shaidle does not provide, transfer, or resell AI accounts. Shaidle provides a marketplace for authorised AI service capacity while account ownership and control remain with the supplier.

Sellers provide available service capacity through secure connection methods supported by the relevant service and permitted under applicable provider terms.

3 · Your account

  • Never disclose provider credentials or tokens to buyers or unauthorised third parties. Shaidle only accepts connections through secure connection methods supported by the service. Activity under your account is your responsibility, including activity performed by you through environments you control.
  • Tokens can be revoked at any time from the app, and revoking one ends that client's access immediately.
  • One person, one account. Do not create accounts to evade a suspension or a limit.
  • Tell us promptly if you believe your account or a token has been compromised.

4 · Buying capacity

  • Credit is prepaid. It is drawn down per token at the published rate for the model that ran, and you can see every movement in your ledger.
  • Credit is denominated in currency, is not a security or a deposit, does not earn interest, and is not transferable between accounts.
  • If your balance reaches zero mid-request, the request stops and you are charged only for what actually ran.
  • Unused credit is refundable on request while your account is in good standing, less any amount already consumed and any transaction cost we cannot recover.
  • Availability is not guaranteed. Capacity on an exchange depends on what sellers have listed, and a request that no seat can serve is answered with an error rather than queued indefinitely.

5 · Selling capacity

If you list capacity you are making a supply of services to Shaidle, and the following apply.

  • You must own the account you connect and be entitled to use it. Do not connect an employer's account, a shared account, or an account you do not control yourself.
  • You are responsible for your own relationship with your provider, including its terms and any consequence of them.
  • Earnings accrue per settled job at the published rate, subject to a per-seat recovery ceiling. A seat that reaches its ceiling stops being schedulable for that cycle.
  • Earnings are held for a review window before they can be withdrawn, so that a mis-metered or reversed job can still be corrected.
  • Payouts settle against a supplier record on payout rails, not out of a card processor's balance. You are responsible for your own taxes on what you earn.
  • You can stop at any time. Drain mode ends new routing immediately and lets in-flight work finish.

Account ownership and working environment

A seller remains the owner and controller of any provider account connected to Shaidle. Connecting an account does not transfer ownership, grant independent access, or make the account available to another person.

A seller may use their account through environments they control, including personal computers, cloud workstations, virtual machines, or other hosted computing environments. Use of a remote workstation, cloud computer, virtual machine, or other hosted development environment does not by itself constitute account sharing. The relevant factors are account ownership, credential control, and who performs activity under the account.

Account sharing occurs when control, credentials, or independent access are provided to another person. The use of a remote or cloud-based workspace by the account holder is not, by itself, account sharing.

6 · Content and outputs

  • You retain ownership of your inputs. Shaidle processes inputs only as necessary to provide the service: we do not persist the content of routed requests beyond what accounting needs, and we do not use it to train anything.
  • Ownership and use rights relating to outputs are subject to applicable provider terms and to the agreements between the relevant parties. Shaidle transfers any rights it has in outputs generated through the service.
  • A seller never receives a buyer's content, and a buyer never learns which account served them.
  • You are responsible for what you submit and for how you use what comes back, including any third-party rights involved.

7 · Acceptable use

The acceptable use policy lists what the exchange may not be used for. Breaching it is a breach of these terms and we may suspend routing, hold earnings, or close an account for it.

8 · Suspension and termination

You can close your account at any time; unused credit is handled under section 4 and held earnings under section 5. We may suspend or close an account for breach of these terms, for fraud or chargeback abuse, or where we are required to. Where we can give notice first, we will. Suspension does not extinguish credit you have already bought or earnings already settled.

9 · Warranties and liability

The service is provided as-is during the beta. We do not warrant uninterrupted availability, and we do not warrant the accuracy, suitability or legality of model output — it is generated, and it can be wrong.

Nothing here excludes liability that cannot lawfully be excluded, including for fraud, death or personal injury caused by negligence, or for a consumer's statutory rights. Subject to that, our aggregate liability arising out of the service is limited to the amount you paid to, or earned through, Shaidle in the three months before the claim arose, and we are not liable for indirect or consequential loss, lost profits, or lost data.

10 · Changes, law and contact

  • We may update these terms. Material changes are announced to account holders before taking effect, and continuing to use the service after that is acceptance.
  • Governing law and venue are stated in the executed version of this agreement and are being confirmed as part of the legal review noted above.
  • If any provision is unenforceable, the rest continues to apply.
  • You may not assign this agreement without our consent; we may assign it as part of a corporate transaction.
